These Terms of Service ("Terms") govern your access to and use of the services and website (the "Services") provided by TadAds Limited ("we," "our," or "us").

TadAds Limited provides digital marketing services including lead generation, email marketing, e-commerce solutions, and voucher giveaway campaigns through our flagship E-giveaway product.
We reserve the right to change, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.
To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You are solely responsible for all content and activity that occurs under your account. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Fees for the Services are as set forth on our website or as agreed upon in a separate written agreement. All fees are exclusive of taxes, which will be charged as applicable.
Payment terms are as specified in your service agreement. Late payments may incur a fee and/or suspension of services. All payment obligations are non-cancellable, and fees paid are non-refundable, except as expressly provided in these Terms or required by law.
We may change our fees and payment terms at any time, but will provide notice through our website or by email before any fee change goes into effect.
To the fullest extent permitted by law, in no event will TadAds Limited, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, special, incidental, consequential, or punitive damages (including, without limitation, damages for lost profits, revenue, goodwill, use or content) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, negligence or otherwise, even if TadAds Limited has been advised as to the possibility of such damages.
The aggregate liability of TadAds Limited for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of the amount you paid for the Services that gave rise to the claim during the 12 months prior to the liability arising or one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless TadAds Limited, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms. TadAds Limited reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with TadAds Limited's defense of such claim.
These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without giving effect to any principles of conflicts of law. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Hong Kong, using the English language in accordance with the Arbitration Rules and Procedures of the Hong Kong International Arbitration Centre then in effect, by one or more arbitrators appointed in accordance with said rules.
Before initiating any arbitration proceeding, you agree to first try to resolve the dispute informally by contacting us at contact@tad-ads.com.
We may terminate or suspend your access to all or part of the Services, with or without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms, is harmful to other users of the Services, to TadAds Limited or its affiliates, or to third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.
